Acceptance of Terms

By accessing our website or utilizing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Description of Services

The UI Coders provides UI development services including, but not limited to:

• UI/UX design and development
• Website and web application development
• Mobile application development
• UI optimization and consulting
• Related digital services as described on our website or agreed upon in writing

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for us to perform our services
• Review and provide feedback on deliverables in a timely manner
• Pay all fees as agreed upon in project proposals or contracts
• Obtain any necessary third-party permissions or licenses for materials you provide to us
• Use our services in compliance with all applicable laws and regulations

Intellectual Property Rights

Unless otherwise specified in a separate agreement:

• Upon full payment, clients receive ownership rights to the final deliverables created specifically for them
• We retain ownership of all preliminary designs and concepts not selected for final use
• We retain the right to use completed projects in our portfolio and for promotional purposes
• Our proprietary tools, processes, and pre-existing materials remain our exclusive property

Payment Terms

Our payment terms are as follows:

• Payment schedules will be outlined in project proposals or contracts
• We typically require a deposit before beginning work
• Final deliverables may be withheld until full payment is received
• Late payments may be subject to additional fees
• All fees are non-refundable unless otherwise specified

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or relating to these Terms or your use or inability to use our services, even if we have been advised of the possibility of such damages.

Termination

Either party may terminate the service agreement with written notice if the other party materially breaches these Terms and fails to remedy such breach within 30 days after receiving written notice. Upon termination, you shall pay all outstanding fees for services rendered up to the date of termination.

Dispute Resolution

Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the laws of India.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
